2. Description of Service

WaCloud provides WhatsApp messaging services including but not limited to OTP delivery, automated reminders, notifications, and promotional messaging through the WhatsApp Business API.

3. User Accounts

3.1 Account Creation

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized use
  • You must maintain accurate and up-to-date account information
  • You must comply with all applicable laws and regulations

4. Acceptable Use Policy

You agree not to use our services to:

  • Send spam, unsolicited, or bulk messages
  • Transmit harmful, threatening, or illegal content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Impersonate others or provide false information
  • Interfere with or disrupt our services

5. Payment Terms

5.1 Fees and Billing

Our fees are as posted on our website. We reserve the right to change our fees with 30 days’ notice. All fees are non-refundable except as specified in our Refund Policy.

5.2 Payment Methods

We accept major credit cards, bank transfers, and other payment methods as specified during checkout. You authorize us to charge your chosen payment method for all fees incurred.

6. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We may suspend or terminate services for maintenance, security reasons, or violations of these Terms.

7. Intellectual Property

All content, features, and functionality of our services are owned by WaCloud and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

To the maximum extent permitted by law, WaCloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless WaCloud from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our services or other users

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
